TERMS OF ENGAGEMENT

TERMS & CONDITIONS

Effective date: September 2026 • Plain language terms for transparent and mutually respectful partnerships.

1 Engagement & Statements of Work

By commissioning Builtbyus for design, web engineering, or social ads management services, you agree to these Terms and Conditions along with any agreed Statement of Work (SOW) or written project proposal. Every project commences once a mutual scope and upfront deposit are confirmed.

2 Our Studio Deliverables

• Brand Identity & Logos: Vector master files (.SVG, .AI, .EPS, .PNG), brand style manuals, and typography palettes.

• Web Engineering: Production-ready source code, responsive layouts, hosting setup, and CMS/dashboard configurations.

• Social Ads & Marketing: Meta and Instagram ad campaigns, creative ad copy, audience targeting, performance tracking, and conversion optimization.

3 Intellectual Property & Ownership

Upon receipt of full final payment, 100% intellectual property ownership of bespoke custom assets (logos, custom brand artwork, website frontends) transfers exclusively to the client. Builtbyus retains the professional right to showcase completed works in our portfolio, case studies, and studio social channels unless protected by an explicit prior NDA.

4 Payments, Milestones & Retainers

  • Projects typically follow a 50% initiation deposit and 50% upon final sign-off / deployment.
  • Monthly retainer agreements are billed at the beginning of each billing cycle with a 7-day payment window.
  • Any third-party vendor charges (domain registrations, server hosting, API consumption tokens) are the responsibility of the client.

5 Revisions & Scope Expansion

Each sprint includes designated review windows and feedback iterations. Substantial additions beyond the agreed proposal (such as brand-new custom feature requests or third-party integrations not originally specified) will be estimated as a separate sprint addendum.

6 Limitation of Liability

Builtbyus works diligently to ensure code stability, modern security standards, and high-availability architecture. However, we cannot be held liable for losses resulting from client-administered credential breaches, third-party platform outages (e.g. AWS, Meta WhatsApp API, payment gateway downtime), or unapproved post-handoff modifications.
